Suoja.email End-User License Agreement (EULA)

This End-User License Agreement (“EULA” or “Agreement”) is a binding legal contract between you, an individual user (“you” or “User”), and Suoja.email Oy, a Finnish limited liability company located in Pori, Satakunta, Finland (“Suoja.email,” “we,” “us,” or “our”). This Agreement is a critical document that governs your rights and obligations regarding the Suoja.email secure messaging service.

This Agreement governs your access to and use of the Suoja.email secure messaging service. By creating an account, clicking a box or button indicating your acceptance (e.g., “I Agree”), or by accessing or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this EULA in its entirety. If you do not agree to this EULA, you are not permitted to access or use the Service. Your use of the Service is expressly conditioned upon your assent to all of the terms and conditions of this Agreement.

You represent that you are at least sixteen (16) years of age. The Service is not intended for use by individuals under the age of sixteen (16) and we do not knowingly collect personal information from such individuals.

Article 1: Definitions

  • “Content” means any and all data, text, files, documents, images, code, and other information that you or a third party transmits, stores, or shares through the Service. This includes the substance of any message as well as any attachments.

  • “Customer” means the individual or legal entity that has entered into a Commercial Agreement for the provision of the Service. The Customer is the party responsible for payment.

  • “Commercial Agreement” means the separate agreement or terms (such as a Master Service Agreement, Terms of Sale, or Reseller Agreement) under which access to the Service was procured and which governs the commercial aspects of the relationship, such as fees and subscription terms.

  • “Master Key” means the unique 24-word BIP39 Mnemonic Recovery Phrase generated upon account creation. It is the cryptographic root of your account’s identity and is required for account recovery and new device authorization. It is considered a User credential.

  • “Recipient” means any individual who receives a communication from a User via the Service but who does not have an active User account at the time of receipt.

  • “Service” means the Suoja.email secure messaging platform, including our website (suoja.email), our applications, software, servers, and all related technologies and functionalities provided by Suoja.email.

  • “User” means the individual human being who registers for, accesses, or uses an account for the Service.

Article 2: Acceptance of the Agreement

This EULA constitutes the entire and only agreement between Suoja.email and you regarding your use of the Service, and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral. If you are using the Service on behalf of an organization or other legal entity (such as your employer), you represent and warrant that you possess the legal authority to bind that entity to this EULA, and you agree to be bound by this EULA on behalf of that entity. Notwithstanding the foregoing, you as an individual remain personally bound by this EULA in all respects, particularly with regard to the acceptable use provisions outlined in Article 5. Any use of the Service by you is an act of acceptance of this Agreement.

Article 3: The Service & License Grant

Subject to your full and ongoing compliance with the terms and conditions of this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your own personal or internal business purposes. This license is granted solely for the purpose of enabling you to use and enjoy the benefit of the Service as provided by Suoja.email, in the manner permitted by these terms. You may not rent, lease, sublicense, sell, assign, loan, distribute, or otherwise transfer your rights to the Service to any third party, unless you are an authorized reseller operating under a valid, executed Suoja.email Reseller Agreement. All rights not expressly granted to you are reserved by Suoja.email.

Article 4: User Accounts & Security Responsibilities

You are responsible for all activity that occurs under your User account, whether or not authorized by you. You agree to maintain the security and confidentiality of your account credentials, including your password and any other access tokens. You must notify us immediately of any known or suspected unauthorized use of your account. Each User account must be used by only one person, and account sharing is strictly prohibited as it fundamentally undermines the security and accountability of the Service.

4.1. The Master Key. Upon creation of your account, a unique Master Key will be generated. This is a critical piece of security information that only you possess. You acknowledge and agree to the following, which is a fundamental basis of this agreement:

  • (a) You are solely and exclusively responsible for the secure storage and confidentiality of your Master Key. It is your responsibility to write it down and store it in a secure physical location, separate from the devices you use to access the Service.

  • (b) Suoja.email’s zero-knowledge architecture means we do not have access to, nor do we ever store, your unencrypted Master Key on our servers. It is your private secret.

  • (c) We are architecturally and technically incapable of recovering a lost, stolen, or forgotten Master Key. There is no “forgot my Master Key” process, as that would require us to have a backdoor, which we do not.

  • (d) The loss of your Master Key will result in the permanent and irreversible loss of access to your account and all associated Content. This is a necessary consequence of the high-security model you have chosen to use, and you accept this risk.

Article 5: Acceptable Use & Prohibited Conduct

You agree not to use, or permit any third party to use, the Service in any manner that violates any applicable law or regulation or that is harmful, fraudulent, obscene, or otherwise objectionable. Your right to use the Service is conditioned upon your compliance with these rules of conduct. Without limitation, you shall not:

  • (a) Send unsolicited commercial communications (spam), junk mail, phishing schemes, or chain letters. This includes any activity that would violate the CAN-SPAM Act or other anti-spam laws.

  • (b) Transmit any Content that is unlawful, harassing, defamatory, libelous, abusive, threatening, racist, hateful, promotes violence or terrorism, or is otherwise legally objectionable.

  • (c) Infringe upon the intellectual property rights (including copyright, trademark, and patent) or privacy and publicity rights of any third party.

  • (d) Distribute viruses, malware, trojan horses, worms, ransomware, or any other malicious or destructive code intended to harm or disrupt another’s computer, data, or the Service itself.

  • (e) Engage in phishing, impersonation, or any other form of fraudulent activity to deceive other users or third parties.

  • (f) Attempt to breach, scan, probe, or test the vulnerability of the Service or any related system or network, or breach any security or authentication measures without our express written permission.

  • (g) Attempt to decompile, disassemble, reverse-engineer, or otherwise discover or derive the source code of the Service.

  • (h) Use the Service to store or transmit any Content in violation of applicable export control laws or regulations.

  • (i) Interfere with or disrupt the integrity or performance of the Service, including by engaging in any activity that imposes an unreasonable load on our infrastructure.

This list is not exhaustive. Suoja.email reserves the right to determine what constitutes a violation of these terms and to take action on any activity which, in its sole discretion, it deems harmful to the Service, its Users, its reputation, or its business operations.

Article 6: User Content & Our Zero-Knowledge Architecture

You retain full ownership of your Content. We do not claim any ownership rights to it. This EULA does not grant us any licenses or rights to your Content except for the limited, worldwide, royalty-free right to process it as technically necessary for the provision and security of the Service.

You acknowledge and agree that the Service is architecturally designed as a “zero-knowledge” platform. This means we cannot and will not access, decrypt, or view the substance of your Content. Your Content is encrypted and decrypted on your client-side device. For details on the limited metadata we do process for the operation and security of the Service (such as IP addresses and device fingerprints), please review our Privacy Policy, which is incorporated into this EULA by reference.

You are solely responsible for maintaining your own backups of your Content. The Service is a secure communication conduit, not a permanent archive or backup solution. You accept the risk of loss for any Content you transmit.

Article 7: Fees and Commercial Terms

7.1. Paid Services. Access to certain features, functionalities, or tiers of the Service (“Paid Services”) may require the payment of fees. All applicable taxes are the responsibility of the Customer.

7.2. Governing Commercial Agreement. The specific fees, billing cycles, payment terms, and renewal conditions for any Paid Services are governed by the Commercial Agreement under which the User’s access was procured.

7.3. Responsibility for Payment. The responsibility for payment of all applicable fees lies with the entity that entered into the Commercial Agreement. This EULA does not create any direct payment obligation between Suoja.email and a User where a separate Commercial Agreement is in place, such as one between the User’s sponsoring organization and an authorized reseller.

Article 8: Termination and Suspension

We may, in our sole discretion, suspend or terminate your access to the Service, with or without notice, for any breach of this EULA, or for any activity that we deem to be a security risk to the Service, our infrastructure, or our other users. Suoja.email will not be liable to you or any third party for any such suspension or termination. Upon termination, your license to use the Service will immediately cease. You will not be entitled to any refund for any prepaid fees as a result of a termination for cause. We reserve the right to delete your account and all associated Content from our systems following termination.

Article 9: Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUOJA.EMAIL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Article 10: Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUOJA.EMAIL, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL SUOJA.EMAIL’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT OF ANY PREPAID FEES PAID BY THE CUSTOMER FOR THE FUTURE USE OF THE SERVICE TO WHICH THE CLAIM RELATES.

Article 11: Indemnification

You agree to indemnify, defend, and hold harmless Suoja.email and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with (i) your access to or use of the Service; (ii) your violation of this EULA; or (iii) any claim made by a third party related to your Content.

Article 12: General Provisions

  • Governing Law and Jurisdiction. This EULA shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to this EULA shall be brought exclusively in the district court of Satakunta (Satakunnan käräjäoikeus).

  • Changes to the Agreement. We reserve the right, in our sole discretion, to modify this EULA at any time. We will provide notice of any material changes by posting the new EULA on our website or by other means of communication. Your continued use of the Service after such changes constitutes your acceptance of the new EULA.

  • Force Majeure. Suoja.email shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

  • Assignment. You may not assign or transfer this EULA or any rights granted hereunder, by operation of law or otherwise, without our prior written consent. Any attempt by you to do so will be void. We may assign this EULA freely.

  • No Waiver. Our failure to enforce any right or provision of this EULA will not be considered a waiver of those rights.

  • Severability. If any provision of this EULA is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this EULA will remain in full force and effect.
